Corporate Governance

Corporate governance refers to the set of systems, principles, and processes by which a company is governed. They provide the guidelines as to how the Company can be directed or controlled such that it can fulfill its goals and objectives in a manner that adds to the value of the Company and is also beneficial for all stakeholders in the long term. Stakeholders, in this case, would include everyone ranging from the board of directors, management, shareholders to customers, employees, and society. The management of the Company hence assumes the role of a trustee for all the others.

Core Business

Al Dar Capital fulfills its responsibilities relating to the integrity of The Company’s code of
conduct
and operations, to ensure:

  • The integrity of The Company’s financial statements and reporting procedures.
  • The appointment of an internal auditor as well as a Compliance and Anti Money Laundering Officer.
  • Annual, independent auditing of The Company’s financial statements.
  • Full compliance with all legal and regulatory requirements.

Board Committees

The Company has a number of committees that are responsible for assisting the Board in the implementation of its responsibilities. The Company has established the following committees, which will help the board in fulfilling its roles and functions:

Audit Committee: is a committee of the board of directors responsible for oversight of the financial reporting process, selection of the independent auditor, and receipt of audit results both internal and external. The committee assists the board of directors to fulfill its corporate governance and overseeing responsibilities in relation to an entity’s financial reporting, internal control system, risk management system, and internal and external audit functions. The Committee consists of three directors, two of them are an independent director and one is a non-executive director.

Executive Committee: Executive committee duties are based on providing organizational direction on behalf of the board and advising the board on decisions and business matters ranging from strategy planning, policy, investment, and risk.

Corporate Governance & Nomination Committee: It plays a critical role in overseeing matters of corporate governance for the board, including formulating and recommending governance principles and policies. This committee is charged with enhancing the quality of nominees to the board and ensuring the integrity of the nominating process. The Committee consists of three directors, two of them are independent director and one is a Shari’a Scholar.


Risk Management

Al Dar Capital Company has a strong foundation of rigid policies that ensures a tight monitoring structure to administer all related elements of risk, including Operational, Security, IT and Management Risks. These policies will enable The Company to have
a strong grasp on risk assessment, developing strategies to manage these risks and to mitigate these risks by using cutting edge technology and a group of internal and external Risk Management professionals.

Shareholders

The major strategic shareholders of Al Dar Capital consist of a group of well-established and reputable private Sector institutions. Represented by prominent individuals with extensive experience in the Islamic financial industry and other businesses, which include:

The single largest shareholder, with a 31% stake, is The Investment Dar (TID), Kuwait. TID, which has various subsidiary and associate group companies, is the largest publicly listed company in the finance sector in Kuwait and has an excellent and consistent track record of profitability and growth.
